Terms of Service
Welcome to ScopeBLDR, a DBA of SimplySeal LLC, a SaaS platform (the "Service" or "Company"). The Service is provided by ScopeBLDR ("we", "us", or "our"), and these terms of use ("Terms of Use") govern your use of the Service.
By using the Service, you agree to be bound by these Terms of Use. If you do not agree with these Terms of Use, you may not use the Service.
Use of the Service
The Service is intended for use by individuals and businesses for the purpose of scope building for construction projects. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth herein.
You agree to use the Service only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise
- To transmit or procure the sending of any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability
- To reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purposes any portion of the Service, use of the Service, or access to the Service
- To upload, post, or otherwise transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
We reserve the right to terminate your use of the Service or to block or prevent your access to the Service if you violate these Terms of Use or engage in any conduct that we, in our sole discretion, believe is or may be illegal, harmful, or offensive.
Privacy and Data Protection
We take the privacy and data protection of our Users seriously. Our Privacy Policy, which is incorporated into these Terms of Use by reference, describes how we collect, use, and share information about our Users. By using the Service, you consent to our collection, use, and sharing of your information in accordance with the Privacy Policy.
California Privacy Rights
Under California Civil Code Section 1798.83, California residents have the right to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. To make such a request, please contact us using the contact information provided in our Privacy Policy.
Liability
ScopeBLDR, henceforth referred to as "the company", holds no responsibility whatsoever for any incidents or events that may occur beyond the services provided by the Company. The services provided by the Company are merely limited to the facilitation of a connection between a licensed or certified professional and an individual who seeks services from the licensed professional. The Company hereby disclaims all liability for the actions, advice, or recommendations provided by the licensed professional. Furthermore, any decisions made by the licensed professional, including but not limited to the work they recommend within their scope of work, the facilitation during the bidding process, or the management of the project, are solely the responsibility of the licensed professional. Therefore, we reiterate that ScopeBLDR holds no liability for any events that occur beyond the scope of the Company's services. We advise our clients to review the licensed professional they choose carefully.
Bid process and Work tracking
When you hire a ScopeBLDR to build a scope of work and facilitate the bid, you are required to use SimplySeal for the associated bidding process. When you hire a ScopeBLDR to build a scope of work, facilitate the bid, and manage the project, you are required to use SimplySeal and VendorTrax for the associated bidding process and the tracking and monitoring of the work. Failure to meet these requirements may result in the partnership being terminated and funds not being released.
Affiliate Program
In order to participate in our affiliate program where users ("Referrer") earn 10% of ScopeBLDR's (the "Company") net profit from a licensed expert's project, (the "Referral Reward") the following conditions must be met. Referred licensed experts ("Referred") must be licensed experts and must be new, first-time users. Referred licensed experts must apply to become a ScopeBLDR, meet our criteria in order to get accepted, and successfully complete a project with a ScopeBLDR customer needing work in order for the Referrer to get paid. ScopeBLDR retains full discretion to determine qualification for the Referral Reward. The Referral Reward should be paid to the Referrer's Accounts within ten (10) business days after a qualifying Payroll Direct Deposit is first deposited into the Referred's Account, although delays may occur. To receive the Referral Reward, the Referrer's accounts must not be closed or restricted, and must be in good standing at the time of payment of the Referral Reward. ScopeBLDR reserves the right to cancel or modify the terms of any Referral Reward offer or terminate a member's eligibility at any time with or without prior notice. Aggregate Referral Rewards and all other ScopeBLDR rewards totaling $600 or more in a calendar year will be reported on tax form 1099-MISC for Referrers.
Payment Milestones
ScopeBLDRs ("Expert") will be paid on the following payment milestone plan:
Milestone 1: Discovery walk- The discovery walk is a property inspection to better understand customer expectations and overall scope of work that the customer would like to achieve. The customer is to make a deposit based on the estimated hours from the expert. The deposit is released to the expert within ten business days after the discovery walk for the customer is completed.
Milestone 2: Formation of the scope of work based on the discovery walk- The expert is to provide estimated hours to the customer prior to beginning the building of the scope. The customer is to make a deposit of funds into escrow post agreement. The expert is to build a scope of work for the customer, submit the scope of work to ScopeBLDR, then 75% of the deposit is released to the expert within ten business days after the scope of work is completed and delivered to the customer.
Milestone 3: Revisions of the scope of work- The customer has ten business days to determine if revisions or additions to the scope of work are desired. These revisions or additions are the responsibility of the expert. Once the expert finishes the requested revisions or additions, the scope of work is to be submitted to ScopeBLDR. If the customer determines there are no further desired revisions or additions to the scope of work, the final 25% of the deposit is released to the expert within ten business days. The project is complete.
Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by us, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Service for your personal or commercial use only. You must not reproduce or distribute the Service on your own behalf.
Account Registration
In order to use certain features of the Service, you will need to register for an account. During the registration process, you will be required to provide us with certain information, including your name, email address, and password. You agree to provide accurate and complete information during the registration process and to update your information as necessary to keep it accurate and complete.
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should notify us immediately of any unauthorized use of your account or password.
